Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and DI MANAGEMENT EHAD LLC, doing business as DI Ehad, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

DI MANAGEMENT EHAD LLC provides professional computer systems design, integrated solutions, and technical consulting services. Our services include but are not limited to:

  • Custom computer systems architecture and design
  • System integration and implementation services
  • Technical consulting and strategic guidance
  • Security and compliance solutions
  • Research and development services
  • Performance optimization and system analysis

Specific terms for individual services may be outlined in separate service agreements or statements of work.

Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of DI MANAGEMENT EHAD LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and services for your personal or internal business purposes, subject to these Terms. This license does not include any right to:

  • Resell or make commercial use of our services or content
  • Collect or use product listings, descriptions, or prices
  • Make derivative uses of our services or content
  • Download or copy account information for the benefit of another party

Client Intellectual Property

You retain all rights to any content, data, or materials you provide to us in connection with our services. By providing such materials, you grant us a limited license to use them solely for the purpose of providing services to you.

User Obligations and Prohibited Conduct

You agree not to:

  • Use our services for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Transmit any viruses, malware, or other malicious code
  • Collect or harvest any information about other users
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that could damage our reputation or business
  • Reverse engineer, decompile, or disassemble any aspect of our services
  • Remove or modify any copyright, trademark, or other proprietary notices

Service Agreements and Statements of Work

Professional services provided by DI MANAGEMENT EHAD LLC are typically governed by separate written agreements, including statements of work, master services agreements, or consulting agreements. In the event of any conflict between these Terms and a separate written agreement, the terms of the separate agreement shall prevail with respect to the services covered by that agreement.

Fees and Payment

Fees for our services are specified in the applicable service agreement or statement of work. Unless otherwise agreed in writing:

  • All fees are quoted in United States Dollars
  • Payment is due within 30 days of invoice date
  • Late payments may be subject to interest charges at the rate of 1.5% per month
  • You are responsible for all taxes, duties, and other governmental charges
  • Fees are non-refundable except as expressly provided in a service agreement

Confidentiality

Both parties acknowledge that they may have access to confidential information of the other party. Each party agrees to:

  • Maintain the confidentiality of the other party's confidential information
  • Use confidential information only for the purposes of the business relationship
  • Not disclose confidential information to third parties without prior written consent
  • Protect confidential information with the same degree of care used for its own confidential information

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

Warranties and Disclaimers

Professional Services Warranty

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is subject to the terms of any applicable service agreement.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN SERVICE AGREEMENT, OUR SERVICES AND WEBSITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any content or information provided through our services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DI MANAGEMENT EHAD LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE THOUSAND DOLLARS, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless DI MANAGEMENT EHAD LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

Term and Termination

These Terms remain in effect while you use our services. We may suspend or terminate your access to our services at any time, with or without cause, with or without notice, effective immediately.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue other available remedies.

Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or our services shall be brought exclusively in the federal or state courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the Last Updated date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

General Provisions

Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and DI MANAGEMENT EHAD LLC regarding your use of our services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
